These Terms & Conditions ("Terms") govern your access to and use of the Operian Labs website at www.operianlabs.com and, where applicable, your engagement with Operian Labs for professional services. By accessing the website or engaging our services, you agree to these Terms.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, do not use the website or services.

Operian Labs provides enterprise AI, software development, cloud, data, and related consulting services. Specific deliverables, timelines, fees, and responsibilities are defined in separate proposals, statements of work, or master services agreements ("Service Agreements"). In the event of a conflict between these Terms and a Service Agreement, the Service Agreement controls for that engagement.

You agree to use the website only for lawful purposes. You must not:

• Attempt to gain unauthorized access to systems or data
• Interfere with or disrupt the website or related infrastructure
• Scrape, crawl, or harvest content in violation of applicable law or robots rules
• Transmit malware, spam, or other harmful material
• Misrepresent your identity or affiliation with Operian Labs

The website and its content—including text, graphics, logos, designs, and software—are owned by Operian Labs or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from our content without prior written consent.

Ownership of custom work product delivered under a client engagement is governed by the applicable Service Agreement.

Each party may receive confidential information from the other in connection with discussions or engagements. You agree to protect Operian Labs confidential information with reasonable care and not disclose it to third parties without authorization, except as required by law. Client confidential information is handled as set out in the applicable Service Agreement and our Privacy Policy.

The website and its content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted, secure, or error-free. Marketing materials describing capabilities are for informational purposes and do not constitute a guarantee of specific outcomes unless expressly stated in a Service Agreement.

To the fullest extent permitted by law, Operian Labs and its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising from your use of the website or these Terms. Our aggregate liability arising out of website use will not exceed one hundred US dollars (USD $100), except where liability cannot be limited by law. Liability for paid services is governed by the applicable Service Agreement.

You agree to indemnify and hold harmless Operian Labs and its personnel from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the website, violation of these Terms, or infringement of any third party rights.

The website may contain links to third-party websites or resources. We are not responsible for the content, policies, or practices of those third parties. Your use of third-party sites is at your own risk and subject to their terms.

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

These Terms are governed by the laws applicable to Operian Labs’ principal place of business, without regard to conflict-of-law principles, unless a Service Agreement specifies otherwise. Courts with competent jurisdiction in that location shall have exclusive jurisdiction over disputes arising from website use, subject to any mandatory consumer protection laws that apply.

We may update these Terms from time to time. The "Last updated" date indicates the latest revision. Continued use of the website after changes take effect constitutes acceptance of the revised Terms. Material changes to paid engagements will be handled through the applicable Service Agreement process.
